Responsibilities
- Manage all legal matters pertaining to the company’s business and operations.
- Serve as primary legal strategist of the company as well as the gatekeeper for the hiring of and coordination with all outside counsel.
- Provide a broad range of legal counsel for the company regarding securities, corporate governance, compliance, corporate and strategic transactions, labor and employment, intellectual property protection, risk management and litigation.
- Advise the company’s Board of Directors and its committees and assist senior management in conducting business in compliance with applicable laws and regulations.
- Monitor and provide updates on current developments in legal and regulatory areas and oversee the development and conduct of training programs on important legal and regulatory developments affecting the company’s operations.
- Monitor and assess risk and liability exposure and advise senior management regarding same.
- Responsible for management of litigation or settlement of claims on behalf of or against the corporation and related corporations and individuals the corporation is obligated to represent.
- Review and recommend changes in all legal documents used in all areas of the company’s operations.
- This position also has supervisory responsibilities including but not limited to: interviewing and evaluating candidates for positions, assigning and reviewing work, providing coaching and training to staff, addressing complaints and resolving issues, and appraising performance.
- Perform related duties, special projects and/or other functions as required.
Qualifications
- Juris Doctorate degree required with bar membership in good standing. New Jersey state bar membership preferred.
- Minimum of 10+ years general corporate experience, including prior experience in a pharmaceutical or biotechnology company. Ideal candidate would have a combination of in-house corporate experience as well as major law firm experience.
- Corporate governance experience in a public company is required.
- Transactional (fundraising, mergers and acquisitions) experience required.
- Knowledge of and experience with, FDA and SEC regulations strongly preferred.
- Prior Sarbanes-Oxley Act compliance experience in a public company setting is preferred.
- Intellectual property and licensing experience is a plus.
- Prior litigation experience a plus.
- Demonstrated ability to analyze complex contractual issues and develop creative and business oriented solutions.
- Strong understanding of and experience with the business needs of a pharmaceutical/biotech/life science company.
- Demonstrated ability to communicate effectively with Board of Directors and senior management.
- Ideal candidate will have experience in or be very comfortable in a clinical-stage pharmaceutical or biotechnology company environment and will be able to contribute to building infrastructure.
- Must possess discretion, sound judgment, strong ethics, excellent conflict resolution and negotiation skills, as well as strong client relation skills.
- Demonstrated ability to work effectively in a team environment, manage multiple priorities, be well organized, take initiative, be flexible, work well under pressure and produce accurate and timely work.
